Terms of Service

1. Agreement and Definitions
By signing up, accessing, or using the Cheddr platform at cheddr.one or any related subdomain, you are entering into a legally binding contract with Cheddr("we", "us", "our", or "the Platform").
If you are accessing the Services on behalf of a restaurant or business entity, you represent and warrant that you have the legal authority to bind that entity to these Terms. If you do not agree to these Terms, you must immediately cease all access to the Services.
2. Subscription, Billing, and Payments
A. Subscription Plans
We offer tiered subscription plans (e.g. Starter, Pro) with varying limits on active tables, staff members, monthly orders, and S3-compatible media storage. The current limits and subscription fees are described on our Pricing page.
B. Billing Cycle
All subscriptions are billed on a recurring monthly or annual basis. Payment details must be provided at setup. Billing periods are calculated strictly based on UTC bounds. Defaulting on payments may result in immediate account suspension or termination.
C. Taxes and Currency
Fees are exclusive of applicable value-added taxes (VAT), service taxes, or other regional duties, which will be calculated and appended at billing based on your merchant registration address.
3. Account Responsibilities & Staff Management
Restaurant accounts require assigning distinct user access tiers.
- Account Owners have ultimate authority over subscriptions, billing payment mappings, and account transfers. Owners are fully liable for all actions executed by their sub-accounts.
- Staff Members (Admin, Cashier, Kitchen, Waiter roles) must keep their login credentials confidential. Any activity occurring within a staff member session is deemed authorized by the Merchant.
- Audit Logging: To ensure system security, the Platform maintains a permanent audit trail of critical back-office configurations. Attempts to falsify log structures are strictly prohibited and constitute grounds for immediate termination.
4. Service Uptime, Disclaimers, and Liabilities
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
We aim for a 99.9% core service uptime. However, because Cheddr operates over local wireless networks and persistent WebSocket channels, we do not guarantee uninterrupted operational connectivity.
Specifically, we are not liable for:
- Lost restaurant revenue resulting from local Wi-Fi drops, device battery failure, or database reconnection latency.
- Kitchen production delays or missed orders due to network packet loss or disconnected WebSocket clients.
- Accidental double-orders caused by a customer's failure to maintain persistent browser connections (although we provide transaction idempotency protections to mitigate this).
5. Acceptable Use Policy
You agree not to:
- Attempt to breach database boundaries, access other tenant schemas, or dump third-party user hashes.
- Run unauthorized automated load testing tools, crawlers, or brute-force scripts against our production APIs.
- Bypass order rate limits (throttlers) or inject malicious scripts into menu item description templates.
6. Termination
We reserve the right to suspend or terminate your account and block access to our servers immediately, without prior notice, if you violate these Terms.
Upon termination, your right to use the Platform ceases immediately. You can request a data export of your menu configurations and invoice histories within 30 days of account termination.
